Stratups Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern access to and use of the Stratups platform, website, applications, services and associated functionality (collectively, the "Platform").

By creating an account, accessing, browsing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

Stratups is a trading sub-division of Focus15 Limited ("Focus15", "we", "our" or "us"), which is the provider and contracting party for the Platform.

We may amend these Terms from time to time. Where appropriate, we will notify Users of material changes. Continued use of the Platform following the effective date of updated Terms constitutes acceptance of the updated Terms.

2. Definitions

In these Terms:

"Stratups", "we", "our" or "us" means Focus15 Limited trading as Stratups.

"Company" means any business, founder, startup, scaleup or organisation using the Platform.

"User", "you" or "your" means any person accessing or using the Platform, whether on their own behalf or on behalf of a Company.

"Module" means an individual strategy, planning or other component made available through the Platform.

"Company Content" means information, data, text, documents, plans, strategies and other material submitted, uploaded or entered by a User into the Platform.

3. Platform Purpose and Scope

Stratups provides software tools, educational content, strategic frameworks and, where applicable, automated or AI-assisted analysis designed to help Companies develop, manage and review business strategies and plans.

The Platform is a technology and decision-support service. It does not provide legal, tax, accounting, financial, investment, employment, regulatory or other professional advice.

The Platform may provide links, introductions or referrals to other platforms and services, including Growth-Match and 4W1N, and may identify services that a User may find relevant. Any such third-party service or introduction is subject to the terms of the relevant third party.

Stratups does not guarantee that any strategy, plan, recommendation, introduction or other output will result in a particular commercial or business outcome.

4. International Use

The Platform may be made available to Users in multiple countries as designated by us.

You are responsible for ensuring that your use of the Platform complies with laws applicable to you. We do not represent that the Platform is appropriate or available for use in every jurisdiction.

These Terms and use of the Platform are governed by the laws of England and Wales, subject to any mandatory rights that apply to consumers in their country of residence.

The courts of England and Wales shall have jurisdiction over disputes arising from or relating to the Platform, subject to any mandatory jurisdictional rights available to consumers.

Unless otherwise stated, all fees, subscriptions and charges are denominated and payable in Pounds Sterling (GBP).

5. Account Registration and Security

Users must create an account to access certain Platform features.

You must provide accurate and current information when creating and maintaining an account.

If you create an account on behalf of a Company or organisation, you confirm that you have authority to bind that Company or organisation to these Terms.

You must keep your login credentials confidential and must not allow unauthorised persons to use your account. You are responsible for activity conducted through your account unless caused by a failure on our part to maintain reasonable security.

You must notify us promptly if you believe your account has been compromised.

Users must meet any minimum age requirement applicable to the Platform and must have legal capacity to enter into these Terms.

A Stratups account may also provide access to other Focus15 services, including Growth-Match.

Stratups and Growth Match are both operated by Focus15 Limited and share a single login. If you use Stratups with an account you created on Growth Match, or the other way round, the terms of both sites apply to your use of either platform. By continuing to use either platform, you agree to those terms.

6. Company Content and Data

You retain ownership of Company Content that you submit to the Platform.

You grant Focus15 a non-exclusive, worldwide licence to host, store, reproduce, process, transmit and otherwise use Company Content to the extent reasonably necessary to provide, secure, maintain and improve the Platform and its functionality, including generating summaries, analyses and AI-assisted outputs requested by you.

We may use aggregated or anonymised information derived from use of the Platform for analytics, service development, benchmarking and improvement, provided that such information does not identify you or your Company.

You are responsible for ensuring that you have the necessary rights, permissions and lawful basis to submit Company Content to the Platform and that doing so does not breach any confidentiality, contractual, intellectual property, privacy or other legal obligation.

Unless expressly agreed otherwise in writing, you should not submit highly sensitive personal data or information that you are prohibited from sharing with a technology service provider.

We will not use identifiable Company Content to train general-purpose AI models without an appropriate legal basis and, where required, your consent or other contractual authorisation.

You acknowledge that Company Content may be processed by third-party technology and service providers engaged by Focus15 to operate the Platform, subject to our Privacy Policy and applicable data protection law.

7. AI and Automated Outputs

Certain Platform features may use artificial intelligence, machine learning or other automated processes to analyse information and generate suggestions, observations, summaries, questions, ratings or other outputs.

AI-generated and automated outputs may contain errors, omissions or inaccuracies and should be treated as decision-support information rather than authoritative advice.

You are responsible for reviewing and assessing any AI-generated or automated output before relying on it and remain solely responsible for all decisions and actions taken by you or your Company.

We do not guarantee the accuracy, completeness, suitability or reliability of AI-generated or automated outputs.

To produce platform content using AI, relevant information provided by you is sent securely to our AI provider, which processes it on our behalf to return a result. We limit what we send to what the feature you are using needs.

We do not permit our provider to use your content to train its models.

8. Confidentiality and Data Protection

We will treat Company Content as confidential and will not knowingly disclose it to third parties except:

  • where disclosure is necessary to provide, maintain, secure or support the Platform;
  • to service providers acting on our behalf;
  • where required by law, a court or regulatory authority;
  • where reasonably necessary to protect our legal rights, users or the security of the Platform;
  • to prevent fraud, abuse or unlawful activity; or
  • with your consent or at your direction.

Personal data will be processed in accordance with our Privacy Policy and applicable data protection legislation.

Our Privacy Policy explains how we collect, use, store and share personal data and how individuals can exercise their rights.

9. Intellectual Property

All intellectual property rights in the Platform, including its software, source code, branding, content created by Focus15, frameworks, processes, designs, graphics and materials, remain the property of Focus15 or its licensors.

Subject to these Terms and any applicable plan restrictions, we grant you a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes during the period for which you have access.

You must not copy, reproduce, distribute, modify, reverse engineer, decompile, commercially exploit or create derivative works from the Platform or its underlying materials, except where expressly permitted by law or with our prior written consent.

Your Company Content remains yours, subject to the rights granted to Focus15 under these Terms.

10. Acceptable Use

You must not:

  • use the Platform for unlawful, fraudulent or abusive purposes;
  • attempt to gain unauthorised access to the Platform, another User's account or restricted features;
  • interfere with the security, operation or availability of the Platform;
  • introduce malware, malicious code or other harmful material;
  • scrape, harvest, extract or systematically collect information from the Platform without our written permission;
  • circumvent subscription, access or technical restrictions;
  • copy or reproduce the Platform or its proprietary materials except as expressly permitted;
  • use the Platform to infringe another person's intellectual property, privacy or other rights; or
  • use the Platform in a way that could reasonably damage Stratups, Focus15 or other Users.

We may take reasonable steps, including suspension or termination, where we reasonably believe these requirements have been breached.

11. Plans, Payments and Subscriptions

Access to paid Stratups Modules requires an active paid plan.

Payments are processed by Stripe or another independent third-party payment provider. Focus15 does not store payment-card details.

Unless otherwise stated at the point of purchase:

  • plans require an initial one-off payment plus an ongoing subscription payment;
  • ongoing subscriptions operate in four-week billing blocks;
  • the initial one-off payment covers access through the end of your first four-week billing block
  • payments are made in advance;
  • subscriptions renew automatically at the end of each billing block unless cancelled;
  • invoices are issued by Focus15 Limited; and
  • subscription prices are those displayed at the time of purchase.

We may change future subscription prices by giving reasonable notice before the relevant renewal, where required by law.

Taxes, including VAT where applicable, will be charged in accordance with applicable law.

12. Cancellation, Refunds and Consumer Rights

You may cancel an ongoing subscription at any time using the cancellation facility provided through the Platform or by contacting us.

Cancellation prevents the next renewal. Unless otherwise stated, access to paid features will continue until the end of the current paid billing block and will then cease.

Subscription fees are non-refundable except where a refund is required by law or expressly offered by us.

Nothing in these Terms limits or excludes any statutory rights that cannot legally be excluded, including rights that may apply to consumers in relation to digital services and digital content.

Where consumer cancellation rights apply, any required cancellation information and consent relating to immediate access to digital services will be provided through the purchase process.

13. Platform Changes and Availability

We may update, modify, enhance, replace or discontinue Platform features from time to time, including introducing new Modules and changing or improving existing functionality.

We will use reasonable endeavours to maintain the availability, security, functionality and performance of the Platform.

The Platform may be unavailable or impaired because of maintenance, upgrades, technical failures, internet or telecommunications disruption, third-party service failures or circumstances beyond our reasonable control.

We do not guarantee uninterrupted or error-free access to the Platform.

Where a material change or discontinuation significantly affects a paid service, we will act reasonably and in accordance with applicable law.

14. Suspension and Termination

We may suspend, restrict or terminate access to the Platform where:

  • you materially breach these Terms;
  • we reasonably consider suspension necessary to protect the Platform, our users or our legal rights;
  • you use the Platform unlawfully or abusively;
  • payment is overdue; or
  • we are required to do so by law or a third-party service provider.

Where reasonably practicable, we will give notice and an opportunity to remedy a breach before suspension or termination, except where immediate action is reasonably necessary.

You may stop using the Platform at any time.

Termination does not affect rights or obligations that arose before termination or provisions which by their nature are intended to continue after termination.

15. Data Export and Deletion

We may provide tools that allow Users to export some or all Company Content.

Following termination or expiry of access, Company Content may remain available for a limited period before being deleted in accordance with our retention practices and Privacy Policy.

You are responsible for exporting any information you wish to retain before your access ends where export functionality is available.

Nothing in this section limits any legal obligation we have to retain or delete information.

16. No Guaranteed Outcome and Disclaimers

The Platform is provided as a strategic planning and decision-support service.

Companies and Users are solely responsible for their own strategies, plans, decisions, actions and outcomes.

While we continually seek to improve the quality and usefulness of the Platform, we do not guarantee that information, frameworks, analyses, AI outputs or other materials will be accurate, complete, current or suitable for a particular Company.

We do not guarantee that use of the Platform will result in funding, investment, customers, revenue, profitability, growth, employment or any other commercial outcome.

The Platform does not replace appropriate professional advice where such advice is required.

17. Limitation of Liability

To the fullest extent permitted by law, the Platform is provided on an "as is" and "as available" basis.

We will not be liable for indirect, consequential, special or incidental losses, or for loss of profits, revenue, business, opportunity, goodwill or anticipated savings, to the extent such losses may lawfully be excluded.

Subject to the provisions below, our total aggregate liability arising out of or in connection with the Platform or these Terms shall not exceed the greater of £100 or the fees paid by the relevant User or Company to Focus15 during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

Nothing in these Terms affects any mandatory statutory rights applicable to consumers.

18. Third-Party Services

The Platform may depend on or integrate with third-party services, including payment, hosting, analytics, communications, artificial intelligence and other technology providers.

We are not responsible for failures of third-party services outside our reasonable control.

The Platform may also provide links, introductions or referrals to third-party businesses or services, including related Focus15 platforms. Any transaction or relationship between you and a third party is between you and that third party, and may be subject to separate terms.

We do not guarantee the suitability, availability, quality or performance of third-party services.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Platform, our services, legal requirements or business practices.

Where a change is material, we will provide reasonable notice where required. The updated Terms will apply from the stated effective date.

If you do not agree to a material change, you may stop using the Platform and cancel any ongoing subscription in accordance with these Terms.

20. General

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be treated as modified or removed to the minimum extent necessary and the remaining provisions shall continue in force.

A failure or delay by us in enforcing any provision of these Terms does not constitute a waiver of our rights.

You may not transfer your rights or obligations under these Terms without our prior written consent, except where required by law. We may transfer or assign our rights and obligations as part of a business sale, restructuring or transfer of the Platform, provided this does not unlawfully reduce your rights.

These Terms, together with the Privacy Policy and any other terms expressly incorporated into them, constitute the agreement between you and Focus15 in relation to use of the Platform.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have jurisdiction over disputes arising out of or in connection with these Terms, subject to any mandatory rights of consumers to bring proceedings in another jurisdiction.

Questions regarding these Terms should be directed to Focus15 Limited using the contact details provided on the Platform.
